Terms of Service

By accessing or using Closr (the "Service"), you agree to these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

Closr is currently offered as an early-access platform. Features may change, be added, or be removed as we refine the product. Service availability, performance, and data formats may evolve during this period. Early-access customers receive direct support and have meaningful input into the product roadmap.

• Use the Service only for lawful, internal business purposes.
• Do not attempt to circumvent security, access other tenants' data, or reverse-engineer the platform.
• Do not upload data you do not have the right to process.
• Accountant review is required before any journal entry export is posted to your ERP.

You retain all rights to data you upload or connect to Closr. We process that data solely to provide and improve the Service for you, as described in our Privacy Policy.

We work to keep Closr available and performant, but during early access we do not guarantee a specific uptime SLA. Scheduled maintenance and platform updates may briefly interrupt access.

To the maximum extent permitted by law, Closr and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Service. Closr's total aggregate liability for any claim relating to the Service is limited to the fees you paid for the Service in the twelve months preceding the claim, or one hundred US dollars (USD $100), whichever is greater.

Outputs from Closr — including accrual recommendations and journal entry batches — are decision-support tools. They do not replace professional judgment. Your accounting team is responsible for reviewing and approving all entries before they are posted.

Either party may terminate the Service with reasonable notice. Upon termination, you may export your data for a limited window before deletion in accordance with our retention policy.

We may update these terms as the platform evolves. Material changes will be communicated to active customers in advance.
